Welcome! The following Terms of Service & Use ("Terms") govern your use of Armabear.com and any related applications, products, or services (collectively, the "Site").

These Terms of Use constitute a binding agreement between you and Armabear, Inc, as well as any mobile platform, application platform, or as any Armabear, Inc. affiliates.

BY ACCESSING OR USING OUR SERVICE, YOU ACKNOWLEDGE AND ACCEPT THAT YOU ARE LEGALLY BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE, PLEASE DISCONTINUE USE OF THE SITE IMMEDIATELY.

BY ACCESSING OR USING OUR SERVICE, YOU REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER A BINDING AGREEMENT.

IMPORTANT NOTICE: These Terms of Service and Use (“Terms” or “TOU”) have been updated as of December 29th, 2025 CC1.1and shall supersede and replace all prior Terms of Use. By accessing, browsing, or using the website www.armabear.com (the “Site”), creating an account, purchasing products, or otherwise interacting with Armabear, Inc. (“Armabear,” “we,” “us,” or “our”), you (“User,” “You,” or “Customer”) agree to be bound by these Terms. These Terms also incorporate an Arbitration Clause and Class Action Waver which requires that most disputes be resolved through arbitration and not through court proceedings. Please read these Terms carefully. 1. Agreement to Terms & Acceptance

1.1 Binding Agreement: These Terms constitute a legally binding agreement between You and Armabear, governing Your use of the Site, any purchases, and any interaction with our services.

1.2 Modification of Terms: We reserve the right to update or modify these Terms at any time. If we do so, we will post the revised Terms on the Site with a new effective date. Your continued use or intent to use the Site or Services following such changes constitutes your acceptance of the updated Terms. You have reviewed and agree to be bound by these Terms.

1.3 Eligibility: You are at least 18 years old (or at least 13 years old with parental or legal guardian consent).

2. Changes to Terms

We may update these Terms periodically. Material changes affecting your dispute resolution rights will require your express agreement via a new “Accept” prompt before taking effect. Your continued use of the Site after non-material changes does not constitute automatic acceptance. You are responsible for reviewing the most current Terms before making purchases.

3 Scope of Services

3.1 Retail Sales: Armabear operates as an online retailer selling optics, tactical gear, outdoor equipment, and related products.

3.2 Marketplace Sales: Armabear, Inc. allows third-party sellers to advertise products for sale on Armabear.com to access the vast Armabear customer base and utilize Armabear‘s sales infrastructure. Purchases for these items are facilitated by Armabear, Inc., but sold and fulfilled by the third-party seller.

4. Account Registration and Security

4.1 Account Creation: To access certain features of the Site, you may be required to register an account. You must provide accurate information and keep login credentials secure.

4.2 Single Account Policy: Each individual may only create one account. Attempts to create multiple accounts may result in termination. You must not impersonate others, create multiple accounts for fraudulent purposes, or engage in unauthorized use of another user’s account.

4.3 Unauthorized Access: If suspicious activity occurs, contact support immediately at  sales@armabear.com. You are responsible for maintaining the confidentiality of your account credentials.

5. Customer Relationships

5.1 Applicability: This section applies to individuals or entities that have previously made purchases from Armabear Inc. prior to April 4, 2025CC2.1, and intend to make future purchases. All individuals who intend to make future purchases agree to the terms and conditions updated on December 29th, 2025, unless they op-out by March 31st.CC3.1

5.2 Account Standing: Former customers must ensure their account remains in good standing. Armabear Inc. reserves the right to deny future transactions if there are outstanding disputes, unpaid balances, chargebacks, or violations of prior terms.

5.3 Updated Policies” Terms and pricing may have changed since a former customer’s last purchase. It is the customer’s responsibility to review the most current Terms & Conditions, including any changes to refund policies, price match policies, warranties, and service availability, before completing a new transaction.

5.4 Loyalty Rewards: Individuals may be eligible for promotions, comeback customer discounts, loyalty rewards, or other promotions at Armabear Inc. discretion. Any such offers are subject to modification or cancellation without notice.

5.5 Account Reactivation – If an individual’s account was previously closed, suspended, or restricted, Armabear Inc. may require additional verification or approval before allowing future purchases.

5.6 No Automatic Reinstatement:Prior customer status does not automatically grant eligibility for all products or services. Armabear Inc. reserves the right to approve or decline future purchases at its sole discretion.

6. User Conduct & Prohibited Activities

In connection with the Site, you agree not to:

• Use the Site for any unlawful, fraudulent, or malicious purposes.
• Submit false claims for refunds or chargebacks.
• Provide false or misleading information.
• Copy, reproduce, or resell Site content without authorization.
• Engage in abusive, harassing, defamatory, or offensive behavior.
• Attempt to disrupt, hack, or compromise Site security.
• Make available through or in connection with the Site any virus, worm, Trojan horse, Easter egg, time bomb, spyware, or other computer code, file or program that is or is potentially harmful or invasive or intended to damage or hijack the operation of, or to monitor the use of, any hardware, software, or equipment.
• Use automated means (e.g., bots, crawlers) to access the Site, use any robot, spider, site search/retrieval application or other manual or automatic device to retrieve, index, "scrape," "data mine" or otherwise gather any materials or content, or reproduce or circumvent the navigational structure or presentation of the Site, without Armabear’s express prior written consent.
• Harvest or collect information about users of the Site.
• Interfere with or disrupt the operation of the Site or the systems, servers, or networks used to make the Site available, including by hacking or defacing any portion of the Site; or violate any requirement, procedure or policy of such servers or networks.
• Restrict or inhibit any other person from using the Site.
• Reproduce, modify, adapt, translate, create derivative works of, sell, rent, lease, loan, timeshare, distribute, or otherwise exploit any portion of (or any use of) Site except as expressly authorized in these Terms of Use, without Armabear’s express prior written consent.
• Reverse engineer, decompile, or disassemble any portion of the Site, except where such restriction is expressly prohibited by applicable law.
• Remove any copyright, trademark, or other proprietary rights notice from the Site.
• Frame or mirror any portion of the Site or otherwise incorporate any portion of the Site into any product or service, unless you obtain Armabear’s express prior written consent to do so.
• Systematically download and store any materials or content.
• Cause injury to any person or entity.
• Violate any law, rule, or regulation, or these Terms of Use.
• Use the Site or Brand names, logo, or brand to (1) send any unsolicited or unauthorized Content, including advertising, promotional materials, email, junk mail, spam, or other form of solicitation; or (2) use any meta tags or other hidden text or metadata utilizing a trademark, logo, URL, or product name without Armabear’s written consent.
• You will not attempt to do anything, or permit, encourage, assist, or allow any third party to do anything, prohibited in this Section, or attempt, permit, encourage, assist, or allow any other violation of these Terms of Use.

7. Product Sales and Pricing

7.1 Pricing, Availability & Promotions: Prices listed on the Site are in U.S. dollars and are subject to change without notice. Promotional offers, discounts, and sales may be subject to additional terms. We cannot confirm the price or availability of an item until after your order is placed. Pricing or availability errors may occur on the Site. The receipt of an order confirmation does not constitute our acceptance of an order or our confirmation of an offer to sell a Product. We reserve the right to cancel any orders containing pricing or availability errors, with no further obligations to you, even after your receipt of an order confirmation or shipping notice from us. We may, at our discretion, either contact you for instructions or cancel your order and notify you of such cancellation.

7.3 Price Errors: If a product is listed at an incorrect price, we reserve the right to cancel the order and provide the option to reorder at the correct price.

7.4 Reselling: Armabear reserves the right, including without prior notice, to limit the quantity of items purchased per person, per household, or per order for any reason. We will attempt to notify you should such limits be applied. Armabear also reserves the right, at our sole discretion, to prohibit sales to dealers or resellers. For purposes of these Terms of Service, “reselling” will be defined as purchasing or intending to purchase any Product(s) from us for the purpose of engaging in a commercial sale of the same Product(s) to a third party.

8. Order Processing, Payment, and Shipping

8.1 Payment Authorization: By providing payment information, you represent that you are authorized to use the payment method. We reserve the right to cancel orders that fail authorization.

8.2 Shipping Policy: We ship to select locations within the United States. Estimated shipping times are not guaranteed and may be affected by external factors.

8.3 Risk of Loss: Risk of loss transfers to you upon delivery to the shipping carrier.

8.4 Backorders: If an item is out of stock, you may have the option to backorder it. Backorders are subject to availability, and we reserve the right to cancel backorders at any time. 9. Returns & refunds

9.1 Return Policy: Returns must comply with our Return Policy. Some items may not be eligible for return (e.g., final sale items, ammunition). In addition to any other remedies available to it, we may in its sole discretion restrict or terminate your account, or cancel or refuse orders for violations of, or abuse of our returns policy. 9.2 Refund Processing: Refunds will be issued to the original payment method within a reasonable timeframe after the return is processed.

10. Promotions

Any sweepstakes, contests, raffles, surveys, games, or similar promotions (collectively, “Promotions”) made available through the Site may be governed by rules that are separate from or supplement these Terms of Use. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Use, the Promotion rules will govern.

11. Privacy

11.2:You authorize your wireless operator (AT&T, Sprint, T-Mobile, US Cellular, Verizon, or any other branded wireless operator) to disclose to Armabear and its third-party service providers your mobile number, name, address, email, network status, customer type, customer role, billing type, mobile device identifiers (IMSI and IMEI) and other subscriber status and device details, if available, solely to verify your identity and prevent fraud for the duration of the business relationship. 11.3 State Privacy Regulations:  Customer acknowledges that Armabear collects, uses, and discloses personal information for legitimate business purposes, including without limitation to operate, maintain, and improve its products and services, fulfill orders, provide customer support, perform analytics, detect and prevent fraud, comply with legal obligations, and otherwise as described in Armabear’s Privacy Notice. Customer further understands and agrees that, to the extent required or permitted by applicable law (including, as applicable, the California Consumer Privacy Act and its implementing regulations), Customer will be provided with the opportunity to opt out of certain data collection, use, and sharing practices, such as the sale or sharing of personal information or the use of personal information for targeted advertising, by following the instructions provided in Armabear’s Privacy Notice or by submitting a request through the designated methods identified therein. Armabear will honor such opt-out preferences in accordance with applicable state privacy laws and within the time frames required by those laws.

California Consumer Privacy Act (CCPA)

If you are a California resident, you have the following rights under the California Privacy Rights Act (CPRA):

A. Right to Know

You may request information about the categories of personal data we collect, the sources of this data, and the purposes for which it is used.

B. Right to Access & Portability

You may request a copy of your personal information in a structured, machine-readable format.

C. Right to Opt-Out of Sale or Sharing
Armabear does not sell personal data, but if we engage in data sharing for targeted advertising, you may opt out. D. Right to Deletion

You may request deletion of your personal data, subject to legal retention requirements.

E. Right to Correct Inaccuracies

If any of your personal data is inaccurate, you may request corrections.

F. Submitting CPRA Requests

G. No Discrimination

We will not discriminate against you for exercising CPRA rights.

12. Ownership of Content & License Grant

12.1 Ownership: All content on the Site (e.g., text, images, graphics, trademarks, and software) is owned or licensed by Armabear or its licensors and protected under applicable intellectual property laws.

12.2 Limited License: You are granted a limited, non-exclusive, revocable license to use the Site for personal, non-commercial purposes.
12.3 Prohibited Use: You may not copy, modify, or distribute Site content without our written permission.

13. Third-Party Links and Services

13.1 External Links: The Site may include links to third-party websites. Armabear is not responsible for third-party content or services.

13.2 Risk Assumption: Any transactions with third parties are at your own risk.

14. Disclaimer of Warranties

14.1 THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESSED, STATUTORY OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, ARMABEAR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU ACKNOWLEDGE THAT, TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THIS SECTION 13 DOES NOT LIMIT THE TERMS OF ANY PRODUCT WARRANTY OFFERED BY THE MANUFACTURER OF AN ITEM THAT IS SOLD BY US TO YOU. THIS DISCLAIMER CONSTITUTES AN ESSENTIAL PART OF THESE TERMS OF USE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SITE AND AGREE THAT ANY INFORMATION YOU SEND OR RECEIVE DURING YOUR USE OF THE SITE MAY NOT BE SECURE AND MAY BE INTERCEPTED OR OTHERWISE ACCESSED BY UNAUTHORIZED PARTIES. YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE TO YOUR PROPERTY OR DATA THAT RESULTS FROM ANY CONTENT YOU ACCESS FROM THE SITE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU.

14.2 WE DO NOT GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of Liability + Indemnity and Release

15.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMABEAR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS PURCHASED THROUGH THE SITE.

15.2 OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

15.3 You agree to defend, indemnify, and hold Armabear, Inc. and its affiliates harmless from any and all loss, claims, liabilities, damages, costs, related to or in connection with the use Armabear, Inc. services.

15.4 To the maximum extent permitted by your jurisdictional laws, You agree to release and waive any claims against Armabear, Inc. and its affiliates from any liability from claims, damages, costs and expenses, or other fees connected to the use of Armabear, Inc. services.

16. Disputes, Arbitration and Class Action Waiver

16.1 Agreement to Arbitrate: Any disputes arising out of these Terms shall be resolved through binding arbitration instead of in court, in accordance with our Arbitration Clause

This includes claims relating to purchases, returns, and use of the Site.

16.2 Class Action Waiver: You agree that all claims must be brought individually and not as part of a class action.

16.3 Opt-Out Option: You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing sales@armabear.com with the subject line "Arbitration Opt-Out."

17. Governing Law and Jurisdiction

17.1 Choice of Law: These Terms shall be governed by the laws of the State of Illinois, without regard to conflict of law principles. except for the Arbitration Agreement, which is governed by the Federal Arbitration Act.

17.2 Forum Selection: Any disputes not subject to arbitration shall be litigated exclusively in the state or federal courts located in Cook County, Illinois.

17.3 Limitations Period on Claims: Any claim arising from your use of the Site must be filed within one year from the date the claim arises.

17.4 Attorneys Fees. In any action, suit, arbitration, mediation, or other proceeding of any kind arising out of or relating to this Terms of Use (including any appeal or proceeding to enforce or collect any judgment or award), the prevailing party shall be entitled to recover from the non-prevailing party all reasonable attorneys’ fees and costs incurred in connection with such matter. For purposes of this Section, (a) "prevailing party" means the party that substantially obtains the relief sought, whether by judgment, award, order, or settlement that is enforceable, and (b) "costs" include court costs, arbitration and mediator fees, expert and consultant fees, investigation expenses, and reasonable out-of-pocket disbursements. Any award of fees and costs shall be limited to amounts that are reasonable, necessary, and directly related to the prosecution or defense of the claims and the enforcement of this Agreement, and shall be determined by the adjudicator presiding over the matter. If different claims are asserted, recovery shall be limited to fees and costs attributable to claims on which the party prevailed. The parties agree that this provision is intended to be severable and enforceable to the maximum extent permitted by applicable law.

18. Termination of Access

We reserve the right to terminate or suspend your access to the Site at any time for any reason, including suspected violations of these Terms.

19. Severability

If any provision of these Terms is found unenforceable, the remainder shall still apply. If the Arbitration Agreement is found unenforceable, claims must be resolved individually in court.

20. Digital Millennium Copyright Act (DMCA) Compliance

If you believe content on the Site infringes your copyright, you may submit a DMCA takedown notice with the following details:

• Your contact information
• A description of the copyrighted work
• The infringing content’s location on our Site
• A statement that you have a good faith belief the content is unauthorized
• A sworn statement confirming the accuracy of your complaint

21. Miscellaneous

• Parental Controls: Parents may use third-party parental controls to restrict access.
• Access from Outside the U.S.: Armabear does not guarantee compliance with non-U.S. laws.

22. Entire agreement

These Terms constitute the entire agreement between you and Armabear regarding your use of the Site and supersede all prior agreements.
